Hazem El Guindi is a Partner at Matouk Bassiouny & Hennawy and a member of the Corporate, M&A and Capital Markets practice groups. He also heads the firm’s sports sector. He also heads the firm’s sports sector. With over twelve years of experience in practice, he has worked on a wide range of complex mergers and acquisitions, capital market projects, and routine corporate work representing a diverse number of clients, entrepreneurs, industry pioneers, top tier corporate companies.

Hazem has participated in several landmark IPOs and M&A transactions in Egypt including Juhayna, Amer Group, Edita, Obourland and Rameda. His work included attending meetings with EGX and FRA.

Practice Focus
Hazem’s practice focuses on mergers acquisitions, sports, IPOs and capital markets transactions including due diligence, restructuring, drafting and negotiating Share Purchase Agreements, Shareholders’ Agreements, Escrow Agreements, and their execution. He also handles all aspects of registration and listing companies on the EGX.

Selected Recent Experience

  • Representation of Agthia Group subsidiary - AG Synergy Holding- as a local counsel in connection with its potential acquisition (pending satisfaction of certain CPs) of 60% stake in Abu Auf Holdings Netherland (which owns 100% of AUF Egypt). Transaction Valued at EGP 2.4 billion.
  • Representation of the National Bank of Egypt in connection with its acquisition of a 24% stake in Aman Technology for Non-Banking Financial Services and Electronic Payments with a value of around EGP 500 million.
  • Representation of the European Bank for Reconstruction and Development as a local counsel in its subscription in new shares issued by Infinity Energy Egypt which resulted in reaching a stake of up to 20%. Transaction value: approximately USD 60 million.
  • Representation of ZED for Sports Investment in connection with its acquisition of 90% of the shares of Misr for Football SAE (which owns FC Misr Club). Transaction value: confidential.
  • Representation of ADNOC – a state-owned company operating in the fertilizer industry in UAE – as a local counsel in connection with its joint venture with the fertilizer and ammonia arm of OCI (including among others Egyptian Fertilizer Company “EFC” and Egyptian Basic Industries Corporation “EBIC”). Transaction value: around USD 5 billion.
  • Representation of NBK Capital as a local counsel in connection with its acquisition of 56% stake in 4 major online platforms in the Middle East (4SALE, Q8CAR, MazadQ8 and Fatakat.com). Transaction value: USD 100 million.
  • Representation of Groupe Solmax – a Canadian-based company and an industry leader in the production of high-quality polyethylene geomembranes for industrial and environmental applications – as a local counsel in connection with its acquisition of GSE Environmental. Transaction value: confidential.
  • Representation of SEB Internationale SAS and Groupe SEB Egypt for Household Appliances in connection with their acquisition of 51% of Egyptian French Company for Households being a market leader in the field of cooking equipment. The acquisition was followed by a merger, which caused SEB Internationale SAS ownership in Groupe SEB Egypt for Household Appliances to reach 55%.  Transaction value: EGP 400 million.
  • Representation of Hassan Allam Construction as a local counsel in connection with its offering of new shares to IFC. Transaction value: EGP 400 million.
  • Representation Lekela as local counsel in connection with its acquisition of Italgen project company operating on a BOO re the 320 MW wind project located in the Red Sea Governorate, Gulf El Zeit area. Transaction value: confidential.
