Imane Raouf is a Partner at Matouk Bassiouny & Hennawy and a member of the Finance & Projects team. She specializes in financing, capital markets, banking, corporate governance, M&A, and debt capital. Throughout her career, she has worked on varying transactions for several international and local clients, differing in both scope and complexity. Before joining the firm, she was a partner and the head of the capital markets and financial services department at a leading law firm. She also worked for the Egyptian Competition Authority, making her an expert in all competition-related matters. She participated in major initial public offerings, including drafting the appropriate sections of the International Prospectus or Offering Memorandum and reviewing underwriting agreements.

  • Representation of the (“lenders”) in connection with a syndicated finance deal with 11 of the top banks in Egypt and the (“borrower”), Gharably Integrated Engineering Company (GIECO). Transaction value EGP 12.3 billion.
  • Representation of Vodacom in connection with the acquisition of a 55% majority stake in Vodafone Egypt. Transaction value EUR 2.5 billion
  • Representation of Arab Company for Projects and Urban Development (“ACUPID”) – an affiliate of Talaat Mostafa Group – in connection with the first-ever securitization backed by a portfolio of club membership fees. Transaction value EGP 410.8 million.
  • Representation of GlobalCorp Financial Services in connection with their 4th securitization issuance amounting to EGP 2.54 billion of a 3-year multi-issuance program worth EGP 10 billion.
  • Representation of Madinet Nasr for Housing & Development in connection with their securitization of the third issuance amounting to EGP 805,500,000 from a multi-issuance program worth EGP 3 billion.
  • Representation of El Oula Mortgage in connection with their securitization of the second issuance transaction amounting to EGP 998.5 million from a multi-issuance program worth EGP 3 billion.
  • Representation of Bedaya Mortgage in connection with their securitization of the first issuance amounting to EGP 958 million from a multi-issuance program worth EGP 3 billion.
  • Representation of The New Urban Communities Authority’s securitized bond issuance with a value of EGP 10 billion.
  • Representation of New Urban Communities Authority in connection with their first securitization worth EGP 15 billion from a multi-issuance program with a total value of EGP 30 billion.
  • Representation of Enmaa Finance Company in connection with their first securitization for their financial leasing portfolio worth EGP 759 million, as part of a wider 3-year multi-issuance program with a total value of EGP 2 billion.
