Dr. Mohamed Al Degwy is a partner at Matouk Bassiouny & Hennawy and head of competition practice. He has over eight years of practice experience in Egypt with vast expertise in the areas of contentious and non-contentious competition law, consumer protection, data privacy and IT related regulations, real estate, Fintech, corporate governance, and general corporate. Dr. Aldegwy has also participated in several landmark M&A transactions in the Egyptian market.
Practice Focus
Dr. Mohamed’s practice focuses on competition law matters, including conducting anti-trust due diligence in the context of M&A transactions, identifying and assessing the materiality of anti-trust risks and estimating relevant financial exposure and suggesting mitigating mechanisms in the context of M&A transactions, conducting an anti-trust review of the transaction documentation. Dr. Aldegwy also assists with reviewing the market practices and contractual arrangements of our clients to ensure their compliance with the Competition Law, advising our clients on their anti-trust queries, representing our clients in anti-trust investigations conducted by the Egyptian Competition Authority and negotiating settlements, conducting competition law compliance training for the top management of our clients, and assessing the notifiability of the transactions to the COMESA Competition Commission and the Egyptian Competition Authority and assisting with such filings. In addition, Dr. Aldegwy has extensive expertise in the areas of consumer protection, data privacy and IT related regulations, real estate, Fintech, corporate governance, and general corporate.

- Conducting assessments of a number of ongoing high-profile transactions on whether they trigger a filing to the COMESA Competition Commission and assisting the clients with the preparation of the COMESA filing and obtaining its approval (ongoing).
- Conducting preliminary assessments of a number of ongoing high-profile transactions on whether they will trigger a filing to the Egyptian Competition Authority under the Egyptian pre-closing merger control (ongoing).
- Assisting a number of major players in various sectors of the Egyptian market (e.g., automotive, pharma, healthcare, and financial services) on compliance of their agreements with the Egyptian Competition Law (2018 – ongoing).
- Competition law assessment of a high-profile acquisition in the food sector as part of the due diligence report. The instructions included the provision of legal advice on whether the target has been in compliance with the Egyptian Competition Law and whether the anticipated acquisition would raise any competition law concerns and assisting with calculation of the relevant contingent financial liability, if any, and advising on the transaction documentation (2023).
- Advising a major player in the sector of fertilizers and chemicals on exchange of commercially sensitive information and board representation of minority shareholders that control competing businesses (2023);
- Conducting a competition law compliance training to the board members and top management of a major player in the automotive sector in Egypt (2023).
- Competition law assessment of a high-profile acquisition in connection with the oil & gas sector as part of the due diligence report. The instructions included the assessment of compliance of the target with the Egyptian competition law and the recommended courses of action in relation thereto (2022 – 2023).
- Assisting a multinational company operating in the construction chemicals sector with compiling and reviewing the information and data pertaining to data requests received from the ECA in the context of a market investigation of the relevant market(s) by the ECA (2023).
- Representation of a major automotive distributor in connection with an antitrust investigation conducted by the Egyptian Competition Authority and reaching a successful settlement with the ECA (2022 - 2023).
- Advising a number of major local and global IT companies on compliance with the data privacy regulations in Egypt (2020 – ongoing).
- Preparation of a tailored corporate governance structure and documentation for a Company in Egypt.
- Representation of Wuhan Chinese engineering and construction giant - in connection with the establishment of a Joint venture company in the Suez Canal Economic Zone in Egypt.
- Representation of Hassan Allam Properties in connection with the Profit-Sharing Co-Development Land Agreement entering with Al-Mustakbal City.
- Representation of Ibn Sina – Egypt’s fastest-growing and second-largest distributor of pharmaceutical products – in connection with an initial public offering of up to 269,381,625 ordinary shares. Offering represents approximately 40% of the total share capital of the company and was divided in two tranches, followed by a capital increase of up to 50 million shares specified to shareholders who sold their shares in the first offering.
- Representation of New Giza University in connection with reviewing and negotiating the academic collaboration agreement entered with King’s College London.
- Preparation of numerous legal memos and advisement for foreign investors and companies in Egypt such as: Amadeus, AXA, Inertia, Hassan Allam Constructions, Hassan Allam Properties, Sonker, Abraaj, Nutreco, Samsung, and Cleopatra Hospitals) on civil law, commercial law, investment law, banking law, competition law, electricity law, insurance law, telecommunications law, pharmaceuticals law, consumer protection law, tax law, intellectual property rights law, and importation law.
