Omar Khattab

Omar is a Counsel at Matouk Bassiouny & Hennawy and a member of the Corporate and M&A practice group. He has more than 9 years of experience in legal practice with a special focus on Corporate, M&A, ECM, and Projects. He spent almost 2 years in the Egyptian Prosecution as a public prosecutor and previously joined top-tier law firms in Egypt. He was awarded an LLM in Law and Economics from Hamburg University’s Faculty of Law and a Master of Sciences in Economics from Cairo University’s Faculty of Economics and Political Science.

Omar leverages his extensive transactional experience and an international perspective to guide government and private clients on public and private mergers and acquisitions, joint ventures, investments, corporate restructuring, and public company representation. He efficiently manages transactions and approaches each matter with a solid understanding of the market and the specific nuances of Egyptian law.

Practice Focus
Omar’s practice focuses on all aspects of business and corporate law and advises private equity funds and other financial investors on national and cross-border private equity and M&A transactions as well as public takeovers and corporate reorganizations across multiple sectors.

  • Representation of a UAE oil company in connection with its joint venture with a British oil and gas company for oil and gas exploration and expansion purposes. Transaction value confidential.
  • Representation of a client in connection with the acquisition of three minority stakes in three state-owned Egyptian joint stock companies. Transaction value USD 800 million.
  • Advising Saudi Public Investment Fund on its acquisition of a minority stakes in four listed companies, namely Abu Qir Fertilizers & Chemical Industries, Alexandria Container and Cargo Handling Co, E-Finance for Digital and Financial Investments and Misr Fertilizers Production Company, through its investment arm in Egypt, the Saudi Egyptian Investment Company. The transaction was executed via the block trade regime before EGX with a total announced value of USD 1.3 billion.
  • Representation of Hassan Allam Utilities in connection with its joint venture with Agility to establish Yanmu which aims to develop, build, and operate modern logistics parks and Grade A warehousing facilities in Egypt. Transaction value confidential.
  • Advising Adeptio AD Investments SPC Ltd., the group led by Emaar Properties PJSC Chairman Mohamed Alabbar, on its USD 2.36 billion acquisition of Middle East fast-food operator Kuwait Food Co. (Americana).
  • Advising Attujariwafa Bank on its USD 500 million acquisition of Barclays Bank Egypt.
  • Advising British International Investment (previously, CDC Group Plc), in connection with its investment and partnership with DP World in ports and logistics across Africa with an investment amount expected to exceed USD 700 million.
  • Advising UAE’s ADNOC Distribution on its USD 200 million equity investment in TotalEnergies Marketing Egypt, a leading company in the Egyptian downstream hydrocarbons market.
  • Advising Takween Advanced Industries on the Egyptian aspects of Takween’s rights issue to increase its capital to become SAR 950 million (around USD 253 million).
  • Advising SPE Capital, an international private equity investment firm, on its EGP 500 million equity investment in Futures Pharmaceutical Industries, a leading pharmaceutical company in the Egyptian pharma market.
  • Advising Saudi’s Aramco on its equity investments in several German start-ups in the fields of aircraft engines and silicon manufacturing with a total investment exceeding EUR 150 million;
  • Advising Queens Hospital, a Cairo-based maternity hospital, on its EGP 25 million business sale to the leading Cleopatra Hospitals Group.
  • Advising Sarwa Capital Group, a leading Egyptian company in the finance solutions market, on numerous financial solution structures in the factoring, financial leasing, and mortgage finance markets with a total amount of approx. EGP 3 billion.
  • Advising a number of multinational corporations on their day-to-day business and operations including, inter alia, Total Egypt, Gouna Film Festival (GFF), Tarek Nour Communications, LC Waikiki, and Azadea Group.
