Omar is a Counsel with the Corporate and M&A Group. Omar has several experiences in daily corporate, transactions and arrangements, corporate advisory work as well as providing legal advice relating to capital market law, handling legal due diligence matters, and drafting and reviewing various types of legal agreements. Furthermore, Omar advises on anti-trust and market control matters in accordance with Egyptian competition law, on organizing distribution networks, and on drafting distribution agreements as well as handling competition dispute matters and advising companies in the use of trade defense instruments (anti-dumping and safeguard measures). Omar also has experience in disputes and conducting document reviews and case assessments for several arbitration cases in both Arabic and English.

Omar’s practice focuses on corporate and commercial matters, including drafting and reviewing various types of legal agreements, handling legal compliances and due diligences matters, providing legal advice for companies regarding their daily corporate activities, transactions and arrangements, and handling labor law matters.

  • Representation of Beltone Financial Holding S.A.E. in connection with its acquisition of Cash for Microfinance S.A.E.
  • Representation of Saint Gobain in connection with its acquisition of IDP for Chemicals S.A.E.. Transaction value confidential.
  • Representation of Development Partners International (“DPI”) in connection with their minority stake sale in B.Tech to Saudi Egyptian Investment Company (“SEIC”). Transaction Value USD 150 million
  • Representation of EFG Hermes (underwriters) with respect to the IPO of CIRA, the largest integrated provider of education services in the Egyptian private sector.
  • Representation of an Egyptian governmental entity regarding a mega national project.
  • Representation of and assisted SNCF in its participation (in a consortium) to a public tender issued by the Egyptian Government for the engineering, procurement, construction and operation and maintenance of a new high-speed train line (Al Alamein new high-speed train line);
  • Representation of Arcelor Mittal in the context of the anti- dumping proceeding and the safeguard measures respectively initiated by Egypt against imports of steel billets, rebars and wire rods from all origins, including Ukraine.
  • Representation of the Commercial International Bank (CIB) on the acquisition of Citibank Egyptian consumer business.
  • Representation of Development Partners International on the acquisition of 33% of B.TECH for Trade and Distribution S.A.E (B.TECH);
  • Representation of an international investment fund on the acquisition of 55% of an Egyptian industrial company;
  • Representation of Knockmart on the acquisition of the Arabian Company for Services and Trade (Dina Farms Stores).
