Mohamed is a Counsel and a member of the Corporate and M&A practice group. His experience focuses on advising multinational and regional clients on a range of private and public mergers and acquisitions, joint ventures, and general corporate matters. He also has expertise in Egyptian equity capital market transactions and investments.
Mohamed offers a wide variety of services, from advising on the documentation for establishing companies, branches, subsidiaries, and representative offices to providing corporate guidance on day-to-day matters and attending board and shareholder meetings. He has also contributed to drafting corporate agreements, due diligence reports, and company articles of incorporation, as well as offering legal opinions on various aspects of corporate law.
- Representation of a client in connection with the acquisition of three minority stakes in three state-owned Egyptian joint stock companies. Transaction value USD 800 million.
- Representation of Palm Hills Developments (“PHD”) and Taaleem Management Services Company in its joint venture to build a private university in PHD’s flagship project Badya, situated in West Cairo with a total investment cost estimated around EGP 1.6-1.9 billion pounds. The work included drafting and negotiating the joint venture’s terms and preparing related transaction documents.
- Representation of Mohammed Ali Al Swailem Group (MASCO) in connection with the Mokattam Corniche development project with an area of 1,750,000 square meters. The work included drafting and negotiating a long-term exclusive development agreement between MASCO and El-Nasr Housing and Development (A subsidiary of the Holding Company for Construction and Development of the Ministry of Public Business Sector). Transaction value EGP 32 billion.
- Representation of Compass Capital’s subsidiary, Bonyan, in connection with the acquisition of 6 separate grade “A” office buildings throughout East Cairo. The work involved examining and drafting the legal due diligence report concerning the documentation related to the targets, in addition to drafting and negotiating the terms of the sale and purchase agreements, escrow agreement corresponding acknowledgments, and undertakings. - Representation of a reputable real estate company in connection with the acquisition of the shares of a leading real estate Joint Stock Company. The work included advising on the restructuring, conducting legal due diligence, and drafting and negotiating the transaction documents. Transaction value confidential
- Representation of First Abu Dhabi Bank (“FAB”), alongside international counsel, in connection with FAB’s 100% acquisition of Bank Audi SAE, Bank Audi’s subsidiary in Egypt.
