Fatma Elhaiwan is a counsel in the Corporate and M&A practice group and was a member of the Finance & Projects practice group. Fatma has worked on several banking and M&A transactions. Further, she has worked on multiple legal due diligences and matters in connection with companies’ law relating to the establishment of corporate entities, giving advice on daily matters, organizing, and drafting various contracts depending on the needs of the client.

Selected Recent Experience
  • Representation of Neptune Energy Group as local counsel in the acquisition of Engie E&P. Significant business acquired by Neptune includes operations in the North Sea of Norway. Neptune was established in June 2015 to focus on large oil and gas portfolio investments. Transaction value: USD 3.9 billion.
  • Representation of GOGAS in connection with acquiring 62% majority acquisition of the participating interests of Royal Resources, Overseas Petroleum Services and Gharib Oil Fields under the Sea Bird Area Concession Agreement, South Gulf of Suez.
  • Representation of SacOil in connection with acquiring 50% of Dana Gas interests in the El Manzala Concession Agreement, the West El Manzala Concession Agreement, the West El Qantara Concession Agreement, the El Matariya Concession Agreement, the North El Salhiya Concession Agreement and the North El Arish Concession Agreement.
  • Representation of Dhunseri Petrochem Limited in connection with selling 50% shares in the Egyptian Indian Polyester Company to Indorama ventures public. The instructions included drafting and assisting in the negotiations of the transaction documentation, drafting SPA and SHA. Transaction value: USD 9,750 million.
  • Representation of Dhunseri Petrochem Limited in connection with the acquisition of 30% shares from the Egyptian Companies owned by the government, Engineering for the Petroleum & Process Industries Company “ENPPI” and Egyptian Petrochemicals Holding Company “ECHEM”. The instructions included drafting and assisting in the negotiations of the transaction documentation, drafting SPA and Escrow agreement. Transaction value: USD 17 million.
