Selected Recent Experience
- Representation of Alameda Healthcare in connection with a landmark USD 190 million investment by Development Partners International (DPI). The investment, structured primarily as a capital increase, was executed through a binding agreement under which DPI and its co-investors will acquire a minority stake in Alameda.
- Representation of the Saudi Public Investment Fund (PIF) in connection with Social Impact Capital’s (SIC) acquisition of an additional 37.5% stake in Cairo for Investment and Real Estate Development (CIRA Education). Through a mandatory tender offer (MTO), SIC raised its stake in CIRA Education from 51.2% to 88.7%. This MTO was funded by a recent capital increase by SIC, subscribed to by Afaq Al Elm Investments Company (Afaq Al Elm), a wholly owned subsidiary of the Saudi Egyptian Investment Company (SEIC).
- Representation of Africinvest in connection with its investment in the BUE, which constitutes Egypt’s largest foreign direct investments in the higher education sector in Egypt to date. Transaction value: confidential.
- Representation of Taaleem Management Services Company in connection with its IPO. Transaction value: 2.1 billion.
- Representation of Ezdehar Management in connection with its minority stake acquisition of Al-Tayseer Healthcare Group through Ezdehar Egypt Mid-Cap Fund. Transaction value: confidential. (Closed 2020)
- Representation of South Africa’s Tana Capital – an Africa-focused investment company – in connection with the acquisition of a minority stake in Alexandria Medical Investment, the majority shareholder of Mabaret Al Asafra Hospitals Group. Transaction value: USD 18 million
